Terms of Service
These Terms of Service ("Terms") govern your access to and use of the SourceToDocs website at sourcetodocs.com and the SourceToDocs document generation platform (together, the "Service"), provided by 2V HUB PTE LTD ("2V Automation", "we", "us"). Please read these Terms carefully. By accessing or using the Service, you agree to be bound by them.
1. About us
The Service is operated by 2V HUB PTE LTD, a company incorporated in Singapore with its registered office at 68 Circular Road, #02-01, Singapore (049422). You can contact us at weare@2vmdls.com.
2. Definitions
- "Customer" or "you" means the individual or organisation that uses the Service.
- "Customer Data" means data, content, files or information provided to or processed by the Service on the Customer's behalf.
- "Platform Agreement" means a separate written agreement (including any order form or statement of work) between us and the Customer governing a paid SourceToDocs deployment.
3. The Service
SourceToDocs is a configurable document generation platform. We enable the capabilities; the Customer connects data sources, configures templates and operates the platform on a day-to-day basis to generate documents such as PDFs, slides and reports. The Service is intended for business use.
4. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. Where the Service is enabled for the Customer under a Platform Agreement, the Customer is responsible for the security of its account credentials and for the activities of its authorised users.
5. Customer Data
As between you and us, you retain all rights, title and interest in and to your Customer Data. You grant us a limited, non-exclusive, royalty-free licence to host, copy, transmit, display and otherwise process Customer Data solely as necessary to provide and support the Service.
You represent and warrant that you have all rights, consents and authorisations required to provide Customer Data to us and to have it processed through the Service, and that Customer Data does not infringe any third-party right or applicable law.
6. Acceptable use
You agree not to, and not to permit any third party to:
- use the Service for any unlawful, harmful, fraudulent or deceptive purpose;
- upload or transmit any content that infringes intellectual property, privacy or other rights, or that contains malware or harmful code;
- interfere with or disrupt the integrity, security or performance of the Service or any third-party systems;
- attempt to gain unauthorised access to the Service or its related systems;
- reverse engineer, decompile or disassemble any part of the Service, except to the extent expressly permitted by applicable law;
- resell, sublicense, rent or otherwise commercially exploit the Service except as expressly permitted by us in writing; or
- use the Service to build a competing product or service.
7. Intellectual property
The Service, including all software, templates we provide, documentation, branding, look and feel and all related intellectual property rights, is and remains the exclusive property of 2V HUB PTE LTD and its licensors. Except for the limited rights expressly granted in these Terms or in a Platform Agreement, no rights are granted to you by implication, estoppel or otherwise.
If you provide us with feedback or suggestions about the Service, you grant us a perpetual, worldwide, royalty-free licence to use that feedback for any purpose, without obligation to you.
8. Fees and commercial terms
Use of the SourceToDocs website is provided free of charge for general informational purposes. Paid use of the SourceToDocs platform is governed by a separate Platform Agreement, which sets out the applicable fees, scope, deliverables and commercial terms. In the event of any conflict between these Terms and a Platform Agreement, the Platform Agreement controls in respect of the matters it covers.
9. Confidentiality
Each party may have access to information that the other party treats as confidential. The receiving party will use the same degree of care to protect the disclosing party's confidential information as it uses to protect its own confidential information of similar nature (and in any event no less than a reasonable degree of care), and will not disclose it to third parties except as permitted by these Terms or the applicable Platform Agreement.
10. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
11. Warranties and disclaimers
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise. We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that it will meet your specific requirements. Any specific service levels for paid deployments are set out in the applicable Platform Agreement.
12. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings or data, arising out of or in connection with these Terms or the Service, whether based in contract, tort (including negligence), strict liability or any other legal theory, and whether or not the party has been advised of the possibility of such damages.
For paid Customers, our aggregate liability under or in connection with the Service is governed by, and limited as set out in, the applicable Platform Agreement, which controls in respect of liability matters between us and that Customer.
For website-only and free use of the Service, our liability is excluded to the maximum extent permitted by applicable law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
13. Indemnification
You agree to indemnify, defend and hold harmless 2V HUB PTE LTD, its affiliates and their respective directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your Customer Data or your use of the Service in violation of applicable law or third-party rights; or (c) your breach of any representation or warranty made in these Terms.
14. Term and termination
These Terms apply for as long as you access or use the Service. You may stop using the website at any time. Paid platform engagements begin and end as set out in the relevant Platform Agreement.
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you are in breach of these Terms or applicable law, or if continued provision of the Service would expose us to legal or operational risk.
The provisions of these Terms which by their nature are intended to survive termination — including, without limitation, the sections on Customer Data, Intellectual Property, Confidentiality, Warranties and Disclaimers, Limitation of Liability, Indemnification and Governing Law — will survive any termination or expiry.
15. Modifications to the Service and these Terms
We may update, modify or discontinue all or part of the Service at any time. We may also revise these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. Material changes will be posted on this page or, where appropriate, communicated to you directly. Your continued use of the Service after the effective date of any revised Terms constitutes acceptance of those Terms.
16. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by, and construed in accordance with, the laws of the Republic of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore in respect of any such dispute or claim, save that we may bring proceedings in any jurisdiction where you are located or hold assets in order to enforce our rights.
17. Miscellaneous
- Entire agreement. These Terms, together with any applicable Platform Agreement and our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject matter.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing or sale of assets, or by operation of law.
- No agency. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the parties.
- Force majeure. Neither party will be liable for any delay or failure to perform caused by circumstances beyond its reasonable control.
